Terms of Service
These Terms of Service ("Terms") govern your access to and use of the DistilIQ marketing website at distiliq.com and the DistilIQ platform (collectively, the "Service") provided by DistilIQ ("DistilIQ," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and authorized to enter into a binding agreement on behalf of your distillery to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. Subscription and payment
Paid plans are billed in advance on the cadence selected at signup (monthly or annual). Fees are non-refundable except as required by law or as expressly stated by us in writing. We may change pricing for future billing periods with reasonable advance notice; continued use after notice constitutes acceptance of the new pricing.
3. Customer data and ownership
As between you and DistilIQ, you retain all rights to the operational data you input into the Service ("Customer Data"), including container records, mashbills, bottling events, sales records, audit log entries, and similar production data. You grant DistilIQ a limited license to host, process, transmit, and display Customer Data solely to operate and improve the Service for you. We will not sell Customer Data and will not use Customer Data to train general-purpose machine-learning models.
4. Acceptable use
You agree not to:
- use the Service to violate any law, including alcohol regulatory laws applicable to your operations;
- upload content that infringes intellectual property rights or contains malicious code;
- attempt to access another customer's tenant, data, or account without authorization;
- reverse engineer, scrape, or otherwise misuse the Service;
- resell, sublicense, or white-label the Service without a written agreement.
5. TTB and regulatory disclaimer
The Service includes calculations and reports designed to support compliance with U.S. Tax and Trade Bureau (TTB) reporting obligations, including support for Form 5110.28. You are responsible for the accuracy of the data you enter and for the regulatory filings you submit. DistilIQ is a tool, not a tax advisor or compliance officer. We do not guarantee that any output of the Service will satisfy a specific regulator's requirements; you should review reports and consult with qualified professionals before filing.
6. Service availability
We work to keep the Service available and performant, but we do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or modify features at any time. We will use commercially reasonable efforts to notify you of significant planned downtime in advance.
7. Third-party integrations
The Service may integrate with third-party services (for example, QuickBooks Online or Anthropic's Claude API). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service.
8. Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own (and no less than reasonable care), and to use such information only as necessary to perform under these Terms.
9. Termination
You may cancel your subscription at any time from within the Service or by contacting us. We may suspend or terminate your account if you materially breach these Terms or if continued provision would expose us to legal liability. On termination, you may export Customer Data for a reasonable period before deletion.
10. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTILIQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. DISTILIQ'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
You will defend, indemnify, and hold harmless DistilIQ from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Governing law and venue
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota, for any dispute arising out of or relating to these Terms.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and update the "Last updated" date. For material changes, we will provide notice to active customers via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
